Terms of Use

Welcome to SoundGate Guitar. These Terms of Use (“Terms”) govern your access to and use of the SoundGate Guitar application (the “App”) and related services provided by SoundGate (“we,” “our,” or “us”).

By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Your Account

2.1 Account Creation

You may create an account using Sign in with Apple, Google Sign-In, or email registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

2.3 Account Security

You agree to notify us immediately at info@soundgate.ai if you become aware of any unauthorized use of your account.

3. Use of the App

3.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use in accordance with these Terms.

3.2 Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse-engineer, decompile, or disassemble the App
  • Interfere with or disrupt the integrity or performance of the App or its servers
  • Attempt to gain unauthorized access to any part of the App or its related systems
  • Use automated scripts, bots, or scrapers to interact with the App
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Share, resell, or redistribute your account access or any content from the App

3.3 Prohibited Content

When interacting with the AI Tutor or submitting feedback, you agree not to submit content that is:

  • Offensive, abusive, threatening, or harassing
  • Sexually explicit or pornographic
  • Promoting violence, discrimination, or illegal activity
  • Infringing on the intellectual property rights of others
  • Spam, malware, or phishing attempts

4. AI Tutor

4.1 Nature of the Service

The AI Tutor is an artificial intelligence-powered assistant designed to provide guitar instruction, practice guidance, and music theory explanations. It is not a substitute for professional music instruction.

4.2 Accuracy

While we strive to provide accurate and helpful responses, the AI Tutor may occasionally produce incorrect, incomplete, or misleading information. You should not rely solely on the AI Tutor for critical musical decisions or professional performance preparation.

4.3 Content Filtering

We implement measures to keep AI-generated content relevant to guitar instruction and music education. If you encounter any inappropriate or objectionable content generated by the AI Tutor, please report it using the feedback feature in the App or by contacting us at info@soundgate.ai.

4.4 Usage Limits

We may impose daily or session-based usage limits on AI Tutor interactions to ensure fair use across all users. These limits may change at our discretion.

5. Intellectual Property

5.1 Our Content

The App and its original content, features, functionality, design, exercises, lessons, chord libraries, scale databases, and strumming patterns are and will remain the exclusive property of SoundGate. The App is protected by copyright, trademark, and other intellectual property laws.

5.2 Trademarks

“SoundGate,” the SoundGate logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SoundGate. You may not use such marks without our prior written permission.

5.3 Your Content

You retain ownership of any content you create within the App (such as custom exercises or compositions). By creating content within the App, you grant us a non-exclusive, worldwide, royalty-free license to store and process that content as necessary to provide the App’s services to you.

6. Feedback and Submissions

Any feedback, suggestions, or ideas you submit to us through the App’s feedback feature or via email may be used by us without any obligation to you. We may use such feedback to improve the App without compensation or attribution.

7. Third-Party Services

The App integrates with third-party services including Firebase (Google), Google Sign-In, and Sign in with Apple. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party service providers.

8. Account Termination

8.1 By You

You may delete your account at any time from Settings → Danger Zone → Delete Account in the App. Upon deletion, all your data will be permanently removed in accordance with our Privacy Policy.

8.2 By Us

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion:

  • Violates these Terms
  • Is harmful to other users, us, or third parties
  • Involves fraudulent or illegal activity

9. Disclaimers

9.1 “As Is” Basis

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that:

  • The App will be uninterrupted, secure, or error-free
  • The results obtained from using the App will be accurate or reliable
  • Any errors in the App will be corrected
  • Your musical ability will improve by any specific measure

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOUNDGATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

11. Indemnification

You agree to indemnify, defend, and hold harmless SoundGate and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with your access to or use of the App or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of this page and, where appropriate, through a notification in the App. Your continued use of the App after any changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SoundGate regarding your use of the App.
